Do you agree to the following? LIMITED CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT This Limited Confidentiality and Non-Disclosure Agreement ("Agreement") is entered into this date by and between Jay Fenello, BizPlacements.com, LLC ("Broker") and the potential business seller described above ("Seller"). WHEREAS, Broker requires access to certain confidential information about the Seller's business ("Business") to properly advise the Seller about options for listing the Business for sale. WHEREAS, Seller desires to provide limited confidential information to the Broker for the purposes of evaluating a possible sale, merger or financing, involving all or part of the Business owned by the Seller. NOW THEREFORE, Broker and Seller hereby agree that during the term of this Agreement and for a period of one (1) year following the disclosure of any Confidential Information hereunder, that: 1. The term "Confidential Information" shall mean any and all information regarding the identity of the Business and its stakeholders, and any of the Business's costs, prices, and historical and projected financial results. Seller understands that other confidential information should not be disclosed, as it is not needed and not covered under this Agreement. 2. Broker agrees to maintain Confidential Information in strict confidence, and will not disclose it to any other person. In the event that the Seller lists their Business with the Broker, the terms of permitted disclosure shall be amended to allow disclosures to Buyers who have executed an NDA agreement, and Business Brokers and other professionals who are obligated to adhere to confidentiality as part of their professional ethics. 3. This Agreement may not be assigned by either party without the express consent of the other. 4. This Agreement shall be governed by and construed in accordance with the law of the State of Georgia. 5. This Agreement constitutes the entire agreement between the parties respecting the subject matter hereof. No change, modification, alteration or addition to any provision hereof shall be binding on either party unless such change is in writing and signed by an authorized representative of both parties. IN WITNESS WHEREOF, the Seller has executed this Agreement herein below.
